01 Preamble
These Terms of Sale (hereinafter the "Terms") govern the sale of digital products (source code, ZIP files, access to private GitHub repos, template packs, etc.) made by JERWIS CONSEIL, a French SAS with share capital of €1,000, registered with the Avignon Trade and Companies Register under number 991 155 136, with its registered office at 529 chemin des Yves, 84220 Roussillon, France (hereinafter "Jerwis Conseil" or "the Seller").
Any order placed through jerwis.fr or its subdomains implies full and unreserved acceptance of these Terms. Ticking the "I accept the Terms of Sale" box at the time of payment constitutes proof of that acceptance.
02 Products offered
Jerwis Conseil offers for sale downloadable digital products, in particular:
- Source code for tools (e.g. workflow-genpics-team, the AI personal-branding photo generator, €39 incl. VAT)
- Ready-to-use templates, scripts and configurations
- Access to private GitHub repos containing the code and its documentation
- ZIP files hosted temporarily on a private blob
The essential features, the price in euros incl. VAT, and the delivery terms for each product are shown on its product page on jerwis.fr at the time of purchase.
03 Price & payment
The prices shown are in euros incl. VAT, French VAT included (20%, unless a reduced rate applies). No extra charge is applied for digital delivery.
Payment is made exclusively by bank card via Stripe, a PCI-DSS Level 1 certified provider. Jerwis Conseil stores no bank-card data whatsoever.
The order is confirmed as soon as the payment is authorized by Stripe. If it is declined, the order is automatically cancelled and you can try again with another payment method.
The invoice is emailed as a PDF within minutes of the payment. It can also be retrieved at any time through the Stripe customer portal.
04 Digital delivery
Delivery is made electronically only, immediately after payment is confirmed, to the email address provided at the time of purchase.
You'll usually receive:
- A Resend email containing the ZIP download link (a signed link, valid for 30 days)
- A GitHub invitation to the private repo containing the source code (you'll need to accept it manually within 30 days)
- The PDF invoice as an attachment
If the GitHub invitation doesn't arrive within 15 minutes, check your spam folder, then contact jeremy.sagnier@jerwis.fr with your purchase email + your GitHub username. I'll unblock you within 24 business hours at most.
05 Right of withdrawal — legal exception
Important: in accordance with Article L.221-28, 13° of the French Consumer Code, the 14-day right of withdrawal does NOT apply to contracts for the supply of digital content not provided on a tangible medium where performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal.
By completing the payment and ticking the "I accept the Terms of Sale and I waive my right of withdrawal so that delivery is immediate" box, you agree that the download and the sending of the GitHub invitation begin immediately, and you expressly waive your right of withdrawal.
7-day satisfied-or-refunded guarantee: independently of the legal exception, Jerwis Conseil offers a 7-day commercial guarantee. If, within 7 days of purchase, you find the product doesn't match its description, write to jeremy.sagnier@jerwis.fr explaining why. Full refund within 14 business days via Stripe.
This guarantee does not apply in cases of clearly abusive use (downloading the ZIP + cloning the repo, then asking for a refund).
06 License to use the source code
Your purchase grants you a personal and commercial license to use the source code delivered, under the following conditions:
- Allowed: using the code for your own activity (personal or commercial), modifying it, deploying it on your servers, making derivatives that you use yourself.
- Prohibited: reselling the code as-is or with minor changes, distributing it publicly (public GitHub, gist, forum), sharing it with third parties who haven't bought the license.
- Limit: access to the private repo is personal (1 GitHub username per purchase). If you work in a team, get in touch for a multi-user license.
The exact license terms may be set out in a LICENSE.md file at the root of the delivered repo. In case of any discrepancy, the LICENSE.md file prevails.
07 Warranties & limitation of liability
The code delivered is provided "as is", without any express or implied warranty that it will work in a particular environment. Jerwis Conseil warrants:
- That the code matches its public description at the time of purchase
- The absence of any deliberate malicious code
- Consistent operation in the environment described in the documentation (Node.js versions, OS, required third-party services)
Jerwis Conseil is not liable for:
- Changes made by the buyer after delivery
- Usage costs of the third-party services required to run it (Anthropic, fal.ai, Vercel, OpenAI, Stripe, etc.)
- Changes to third-party APIs that would make the code non-functional in the future
- Indirect damages (loss of revenue, loss of data, etc.) related to using the code
Jerwis Conseil's total liability towards the buyer is in any event limited to the amount paid for the product concerned.
08 Support & updates
Support included: email assistance for delivery issues, repo access, and invoices. Reply within 7 business days.
Technical support is not included in the purchase price: adapting the code to a specific context, debugging errors tied to your environment, training on how to use it. These services can be ordered separately by getting in touch directly.
Updates: as long as the repo is maintained by Jerwis Conseil, buyers keep access to all later versions (automatic pushes to GitHub). No contractual obligation of perpetual maintenance.
09 Intellectual property
The source code remains the intellectual property of Jerwis Conseil or of Jérémy Sagnier. The license granted upon purchase is a license to use, not a transfer of ownership.
The buyer may cite Jerwis Conseil as a source of inspiration or origin, with no obligation to expressly mention it in the final product, unless stated otherwise in the LICENSE.md delivered.
10 Personal data
The data collected as part of the sale (email, name, billing address, GitHub username) is processed in accordance with the Privacy policy. Retention of 10 years for accounting records (legal obligation).
11 Force majeure
Jerwis Conseil cannot be held liable for any delay or non-performance resulting from an event of force majeure as defined by French case law (a global outage of Stripe, GitHub, Vercel, Anthropic, etc.). In that case, delivery is suspended for as long as needed and resumes as soon as the blockage ends.
12 Disputes & governing law
These Terms are governed by French law.
In the event of a dispute, the buyer is invited to contact Jerwis Conseil first for an amicable resolution. Failing that, a consumer buyer may use consumer mediation free of charge through the European platform ec.europa.eu/consumers/odr.
Failing an amicable resolution or mediation, the competent courts shall be those of the consumer buyer's place of residence or, for a dispute between professionals, the Avignon Commercial Court.
13 Changes to the Terms
Jerwis Conseil reserves the right to change these Terms at any time. The Terms applicable to an order are those in force at the time the payment is confirmed. Date of the current version: May 12, 2026.
